Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Libelula Labs LLC d/b/a Wealthmetrica ("Wealthmetrica," "we," "us," or "our"), a New York limited liability company located at 166 Bank St, Suite 2B, New York, NY 10014. They govern your use of wealthmetrica.com, our platform, data, integrations, and related services (the "Services").

If you use the Services on behalf of a company, you agree to these Terms for that company and confirm you have authority to bind it. If you do not agree, do not use the Services.

Your use of the Services is also subject to our Privacy Policy. If you have a separate written agreement or order with us, it controls over these Terms where they conflict.

2. Eligibility and Business Use

You must be at least 18 years old and use the Services only for business and professional purposes. The Services are not for personal, family, or household use. We may ask you to verify your identity or business purpose, and we may refuse or end access if you do not qualify.

3. Accounts and Security

• Provide accurate information and keep it current.
• Keep your login credentials confidential. You are responsible for all activity under your account.
• Each seat is for one individual. Do not share credentials or create multiple accounts to avoid limits.
• Tell us promptly at support@wealthmetrica.com if you suspect unauthorized use.

4. Services and Plans

We offer access to the Services under the plan or order you select. Features, usage limits, and fees depend on that plan or order. We may change or discontinue features, and we may apply usage limits to protect the Services.

5. Fees, Billing, Renewal, and Refunds

• Fees. You agree to pay the fees stated in your plan or order. Fees are exclusive of taxes, which you are responsible for.
• Billing. Unless your plan or order says otherwise, fees are charged in advance for each billing period. You authorize us to charge your payment method. If a payment fails, we may suspend access until it is resolved.
• Renewal and cancellation. Paid plans renew automatically for successive periods unless you cancel before the next renewal date through your account or by emailing support@wealthmetrica.com. Cancellation takes effect at the end of the current period.
• Price changes. We may change fees for future periods by giving you advance notice. If you do not cancel, the new fees apply at renewal.
• Refunds. Fees are non-refundable except where required by law.

6. License and Permitted Use

Wealthmetrica licenses its data and content to you under these Terms and your plan or order. Subject to your compliance, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and the data made available through them for your own internal business purposes.

The data is licensed to you, not sold. You may use data delivered through the Services' own export and integration features, including exports and connections to your CRM or AI tools, for your internal business purposes within the scope of your plan or order and any usage limits that apply.

7. Restrictions

Except as permitted above or in a written agreement with us, you may not:

• Use bots, spiders, scrapers, or other automated means to access or extract data from the Services, other than the export and integration features we provide.
• Copy, resell, sublicense, lease, redistribute, publish, or otherwise make data from the Services available to anyone outside your organization.
• Use the Services or data to build, train, or improve a competing product, database, or service.
• Train or fine-tune any artificial intelligence or machine learning model on data from the Services. You may use licensed data with your own AI tools for internal work, provided the data is not used to train or retained by those tools beyond your session.
• Exceed usage limits, or circumvent or interfere with quotas, security, or access controls.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Share your account or content obtained through it with unauthorized third parties.
• Use the Services for any unlawful purpose.

8. Compliance With Laws When You Contact People

You are responsible for how you use contact information from the Services. You agree to follow all applicable laws, including laws on commercial email, calls, and text messages (such as CAN-SPAM, the Telephone Consumer Protection Act, and do-not-call rules), and to honor opt-out and removal requests. You may not use the Services for harassment, deception, or unlawful solicitation.

9. Data Accuracy and No Advice

Our data is compiled from registers, directories, media, company sites, and other sources we believe are reliable. We do not guarantee it is accurate, complete, or current, and some information may be missing or out of date. A missing figure, such as assets under management, does not mean the value is zero.

The Services are for research and informational purposes only. Nothing in the Services is investment, legal, tax, or compliance advice, or a recommendation or solicitation of any kind. Wealthmetrica is not an investment adviser. You are solely responsible for your decisions and for verifying information before relying on it.

10. Your Content and Feedback

You keep ownership of the content you submit, such as saved lists and notes ("Customer Content"). You grant us a limited license to host, process, and use it to provide, secure, and improve the Services. If you give us feedback or suggestions, we may use them without restriction or payment.

11. Intellectual Property

The Services, including the software, data, compilations, text, graphics, and trademarks, are owned by Wealthmetrica or its licensors and protected by copyright, trademark, and other laws. These Terms give you no ownership rights. Wealthmetrica and its logos are our marks, and you may not use them without our written permission.

12. Third-Party Services

The Services may link to or work with third-party products or sites. We do not control them and are not responsible for them. Your use of them is at your own risk and subject to their terms.

13. Suspension and Termination

You may stop using the Services or cancel your plan at any time as described in Section 5. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, created risk for us or others, or if required by law. On termination, your license ends and you must stop using the Services. Data you lawfully exported before termination may continue to be used under the license in Section 6 only to the extent your plan or order allows. Sections that by their nature should survive will survive, including Sections 5, 7, 8, 9, 11, and 14 through 19.

14. Disclaimers

THE SERVICES AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. YOUR USE IS AT YOUR OWN RISK. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WEALTHMETRICA AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS ($100). These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose, but do not limit liability that cannot be limited by law.

16. Indemnification

You will defend, indemnify, and hold harmless Wealthmetrica and its members, officers, employees, and licensors from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your Customer Content, your violation of these Terms or applicable law (including laws on contacting people), or your infringement of anyone's rights.

17. Governing Law and Disputes

These Terms and any dispute arising from them or the Services are governed by the laws of the State of New York, without regard to conflict-of-laws rules.

Any legal action will be brought exclusively in the state or federal courts located in New York County, New York, and you and Wealthmetrica consent to their personal jurisdiction and venue.

TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY ACTION ARISING FROM THESE TERMS OR THE SERVICES. Claims may be brought only on an individual basis and not as part of any class, collective, or representative action. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information, or to prevent misuse of the Services.

18. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last Updated" date and, for material changes, notify account holders by email or through the Services. Changes take effect when posted or on the date stated. Continued use after a change means you accept the updated Terms. If you do not agree, stop using the Services and cancel your plan.

19. General

• Entire agreement. These Terms, the Privacy Policy, and any plan or order are the entire agreement between us on this subject.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Severability. If a provision is unenforceable, the rest remains in effect.
• No waiver. Failure to enforce a provision is not a waiver.
• Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
• Electronic notices. You consent to receive notices electronically, including by email or posting on the Services.
